Our lawyers have participated in electricity transactions with aggregate capacity exceeding 7,500MW across the electricity business value chains of generation, distribution and transmission. Our specific roles in these transactions were: (a) carrying out complex due diligence exercises during the privatisation of the electricity assets of the Power Holding Company of Nigeria (“PHCN”) and the Niger Delta Power Holding Company (“NDPHC”); (b) drafting and negotiations of key transaction agreements including Power Purchase Agreements (“PPAs”), financing and securitisation agreements and fuel intake agreements;(c) providing regulatory support and advice (obtained the licencing for 7 NDPHC-owned power plants and at least 4 private IPPs and 2 Independent Electricity Distribution Networks (“IEDNs”); and (d) advising the government/private sector clients on procurement (among other engagements, our Chukwubuike Onwuzurumba was a member of the federal government committee that evaluated bidders and selected the preferred bidder for the Katsina 10MW wind farm, Nigeria’s sole wind farm to date).
Our Chukwubuike Onwuzurumba is currently leading the legal/commercial team of the consortium providing transaction advisory to the Nigerian National Petroleum Corporation (NNPC) on its gas and power investments (comprising 4000MW of greenfield power plants, EPC of >600km of gas pipeline and divestment of shares in existing joint venture power plants).
We are retained by an upstream services company with the largest Liquid Mud Plant in Nigeria. We are advising a new entrant to the joint ownership of OML 11.
Our lawyers have advised on major construction projects, drafting and reviewing EPC, O&M Contracts and Long Term Service Agreements (“LTSAs”). Our experience includes a GE manufacturing facility in Calabar, Cross River State, a 450MW power plant in Okija, Anambra State, a Pharmaceutical Products Factory in Kaduna, among other engagements.
We are currently advising the consortium of EPC contractors for the 700MW Zungeru Hydroelectric Power Plant in Niger State and the project developers of a large pharmaceutical products factory in Kaduna State, Nigeria.
We are also currently legal advisers to Chemie Tech LLC, an international EPC company developing a bulk oil storage temrinal in the Dangote Free Trade Zone, Lagos.
Our lawyers have advised government parties in the formulation/execution of infrastructural projects and regulatory instruments. Our Chukwubuike Onwuzurumba was part of the team that drafted the Independent Electricity Transmission Networks Regulations for the Nigerian Electricity Regulatory Commission.
We are currently providing legal/commercial support for the development of several power plants with capacity of 4000MW and associated >600km of gas pipelines by a government entity. We have also represented private sector clients in their dealings with government. In this regard, we provide advisory opinions on procurement and anti-corruption compliance strategy.
Our lawyers have been key participants in mergers, acquisitions and takeovers (up to financial close and thereafter) with deal sizes exceeding US$3 billion. Our roles have included (i) carrying out due diligence exercises during M&A deals or similar transactions; (ii) drafting and negotiations of transaction documents including Shareholders Agreements (“SHAs”) Share Purchase Agreements (“SPAs”), Asset Purchase Agreements, Escrow Agreements, Intercreditor Agreements and Subordination Agreements; (iii) providing regulatory support and advice.
We are advising a real estate development and management company with a property portfolio in excess of US$20m. Our services include draft of transaction documents, due diligence on title and litigation. We are also lawyers to 2 estate surveying firms in Lagos and Abuja to which we provide legal support in their property management, valuation and real estate advisory practices.
